These User Terms and Conditions govern access to and use of the Program by any purchaser, subscriber, learner, customer, institution, or other user (the User). By clicking "I Agree", registering, making payment, downloading, installing, accessing, browsing, activating, or using the Program, the User agrees to be bound by these User Terms.

Important Acknowledgements

Before proceeding, the User acknowledges and agrees to the following:

Educational and informational use only - The Program is intended for educational, informational, simulation, strategy-learning, training, and analytical purposes only.

Market risk exists - Use of the Program in connection with trading, investing, or market-related activity may involve substantial financial risk, and loss may occur.

No promise of profit - No assurance, representation, warranty, or guarantee is made regarding profits, returns, performance, success ratio, or avoidance of loss.

Past results are illustrative only - Historical simulations, backtests, strategy illustrations, and educational outputs are assumption-driven and do not predict future outcomes.

Not financial or professional advice - Nothing in the Program or related communications constitutes investment, trading, legal, tax, financial, or other professional advice or recommendation.

User responsibility - The User remains solely responsible for all decisions, actions, outcomes, and consequences arising from use of the Program or reliance on its outputs.

System and connectivity responsibility - The User is responsible for device security, credentials, internet access, broker or platform connectivity, and any required third-party infrastructure needed for use of the Program.

No sharing or misuse - The User shall not copy, reverse engineer, scrape, redistribute, resell, share signals, permit unauthorized access, or use the Program for prohibited or misleading purposes.

Legal eligibility - By continuing, the User confirms legal capacity to contract and that use of the Program is permitted in the User's jurisdiction.

1. Eligibility and Acceptance

1.1 The User represents that the User is competent to contract under applicable law and has authority to accept these User Terms.

1.2 If the User accepts on behalf of an entity, the User represents that the User has authority to bind that entity.

1.3 If the User does not agree to these User Terms, the User must not access or use the Program.

2. Nature of Program

2.1 The Program is a software program intended for educational, informational, simulation, strategy-learning, training, and analytical purposes only.

2.2 The Program may allow the User to input parameters, review historical market scenarios, simulate a strategy against historical data, and view indicative outputs derived from historical assumptions and available system logic.

2.3 The Program is not a brokerage platform, execution engine, investment adviser, research analyst, portfolio manager, financial planner, or fiduciary tool.

3. No Advice; No Recommendation; No Assured Outcome

3.1 Nothing in the Program, any report, dashboard, interface, strategy output, chart, simulation, communication, support response, or educational material shall constitute investment advice, trading advice, legal advice, tax advice, financial advice, research advice, solicitation, recommendation, or an invitation to buy, sell, hold, or deal in any security, derivative, instrument, or asset.

3.2 The User shall not rely on the Program as the sole or primary basis for any market action.

3.3 Historical simulations, educational outputs, and strategy illustrations are inherently limited, assumption-driven, and may not reflect real market conditions, slippage, latency, liquidity, costs, behavioral factors, market depth, execution realities, broker restrictions, outages, or future events.

3.4 No assurance, representation, warranty, or guarantee is made regarding profitability, suitability, success ratio, win rate, future performance, capital preservation, or avoidance of loss.

4. Educational Purpose and Live Market Warning

4.1 The Program is provided strictly for educational and informational use.

4.2 Use, deployment, adaptation, interpretation, or reliance upon the Program or its outputs in any live market, real-money market, execution environment, broker-connected environment, or trade-decision environment is entirely at the User's sole risk.

4.3 Neither the distributor, the original developer, nor their affiliates, personnel, licensors, service providers, or partners shall bear monetary or legal responsibility for loss, damage, liability, penalty, or claim arising out of live market use, attempted live market use, reliance on Program outputs, or decisions based on historical simulation or educational results, to the maximum extent permitted by law.

4.4 The User acknowledges that securities and financial markets involve significant risk and that educational software outputs are not substitutes for independent judgment, regulated professional advice, or risk assessment.

5. License Grant

5.1 Subject to payment and compliance with these User Terms, a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license is granted to the User to access and use the Program solely for lawful educational and informational purposes.

5.2 The User acquires no ownership rights in the Program.

5.3 The User shall not share accounts, resell access, host copies, redistribute the Program, or provide Program outputs as a commercial service unless separately authorized in writing.

6. Usage Restrictions

6.1 The User shall not reverse engineer, decompile, disassemble, scrape, decode, translate, or derive source code from the Program.

6.2 The User shall not tamper with security features, access controls, session controls, encryption, or logs, or upload malware, malicious code, harmful scripts, or use automated extraction tools without permission.

6.3 The User shall not use the Program for unlawful, fraudulent, deceptive, prohibited, or infringing conduct, and shall not remove risk warnings, disclaimers, notices, or attribution or misrepresent educational outputs as assured market results.

7. User Accounts and Security

7.1 The User is responsible for maintaining confidentiality of login credentials, devices, multi-factor authentication, and account activity.

7.2 The User shall promptly notify the distributor of unauthorized access, suspicious activity, account compromise, or any suspected security issue.

7.3 No liability shall arise for losses caused by credential sharing, weak passwords, compromised devices, user negligence, phishing, or malware, to the maximum extent permitted by law.

8. Data Collection

8.1 In connection with access to and use of the Program, certain technical, diagnostic, behavioral, interactional, account, support, device, and usage data may be collected, transmitted, stored, reviewed, analyzed, and used for account administration, fraud prevention, troubleshooting, security, service quality, analytics, maintenance, feature improvement, and product upgradation.

8.2 The User consents, to the extent permitted by applicable law, to such processing for the aforesaid purposes and for responding to support issues, enhancing functionality, and improving user experience.

8.3 The User should not upload sensitive information unless necessary and expressly requested through authorized channels.

8.4 By installing, accessing, or using the Program, the User understands and accepts that usage data, feedback data, technical logs, and related information may be received for quality-control, maintenance, analytics, and upgradation purposes.

9. Intellectual Property

9.1 The Program and all associated software, interfaces, content, structures, compilation, layout, features, documentation, and intellectual property rights are owned by the relevant proprietor or licensor and are protected by law.

9.2 The User shall not copy, imitate, reproduce, republish, create derivative works from, publicly display, distribute, or commercially exploit any part of the Program except as expressly permitted.

10. Updates and Changes

10.1 Updates, patches, fixes, interface changes, feature changes, or modifications to the Program may be released from time to time.

10.2 Some updates may be mandatory for continued functionality, security, compatibility, or support.

10.3 Older versions may not remain supported indefinitely.

11. Fees

11.1 Access fees, subscription charges, taxes, and applicable payment terms shall be as displayed at the time of purchase or as separately agreed.

11.3 Access may be suspended or terminated for chargebacks, failed payments, fraud suspicion, breach of these User Terms, or misuse.

12. Disclaimers

12.1 The Program is provided on an "as is", "as available", and "with all faults" basis.

12.2 No warranty is given that the Program will be uninterrupted, error-free, defect-free, secure, accurate, complete, current, or suitable for any specific commercial, market, execution, compliance, or personal purpose.

12.3 The Program may be affected by internet conditions, browser limitations, historical data quality, feed assumptions, cloud outages, user configuration, local devices, third-party APIs, hosting issues, or software bugs.

12.4 All implied warranties including merchantability, fitness for a particular purpose, title, non-infringement, and suitability for live market usage are disclaimed to the maximum extent permitted by law.

13. Limitation of Liability

13.1 To the maximum extent permitted by law, no liability shall arise for any indirect, incidental, consequential, punitive, special, or exemplary damages, or for any loss of profit, loss of capital, loss of opportunity, loss of business, loss of data, loss of goodwill, market loss, interruption loss, or trading loss.

13.2 Without limiting Clause 13.1, no liability shall arise for any loss stemming from live or real-money market use, reliance on educational outputs or historical strategy simulations, user decisions, delay or failure to act, broker or exchange failure, internet or cloud failure, power or device failure, cyber incidents, malware, account compromise, inaccurate inputs, unsupported configurations, or any third-party claim or regulatory action related to the User's conduct.

13.3 Where liability cannot be excluded by law, aggregate liability shall not exceed the amount actually paid by the User for access to the Program during the three (3) months preceding the event giving rise to the claim.

14. Indemnity

14.1 The User shall indemnify and hold harmless the distributor, original developer, their affiliates, officers, employees, agents, contractors, and licensors from and against any claim, action, proceeding, damage, liability, penalty, cost, or expense arising out of the User's misuse of the Program, use of the Program or its outputs in any live market or real-money environment, breach of these User Terms, unlawful or misleading onward sharing of outputs, or infringement of rights or violation of law.

15. Suspension and Termination

15.1 Access may be suspended, restricted, or terminated immediately if the User breaches these User Terms, engages in prohibited conduct, creates legal or security risk, attempts unauthorized access, shares credentials, or uses the Program in a harmful manner.

15.2 Upon termination, the User's license to use the Program shall cease immediately.

15.3 Clauses relating to intellectual property, disclaimers, limitation of liability, indemnity, dispute resolution, and data usage shall survive termination.

16. Governing Law and Dispute Resolution

16.1 These User Terms shall be governed by the laws of India.

16.2 Any dispute arising from these User Terms shall first be attempted to be resolved amicably within fifteen (15) days.

16.3 If unresolved, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 by a sole arbitrator.

16.4 The seat and venue of arbitration shall be as stated on the website, order flow, or applicable legal notice, and the arbitration shall be conducted in English.

16.5 Courts having competent jurisdiction at the stated seat or venue shall have jurisdiction for interim relief and arbitration-support proceedings.

17. Miscellaneous

17.1 These User Terms constitute the entire agreement in relation to the Program.

17.2 These User Terms may be updated from time to time by publishing a revised version or notifying Users through the Program or associated channels, and continued use after such update shall constitute acceptance to the extent permitted by law.

17.3 If any provision is held unenforceable, the remainder shall continue in effect.

17.4 No waiver of any right shall be effective unless made in writing.

Disclaimer

The Program is provided strictly for educational and informational purposes only. It simulates historical market conditions and generates illustrative results based on selected strategy parameters. It does not constitute investment advice, trading advice, research recommendation, or any assurance of returns. Any use of the Program or its outputs in live markets or real-money environments shall be solely at the User's risk, and no liability shall arise for any monetary loss, legal claim, or regulatory consequence to the maximum extent permitted by law. By using the Program, the User also acknowledges that certain usage and technical data may be collected for quality-control, maintenance, analytics, and upgradation.
